| Position Summary | The Portland State University Board of Trustees is a 15-member volunteer board appointed by the Governor of Oregon. The University Board Secretary (Secretary) serves as the primary liaison between the Board of Trustees and University administration. The Secretary is responsible for working with the President, Cabinet, and Board in promoting effective Board governance and fostering collaboration between members of the University and the Board. The Secretary reports administratively to the President of the University and functionally to both the Chair of the Board of Trustees and the President. The Secretary has primary responsibility for supporting the Board through strategic, high-level, and confidential planning and management, in consultation with University leadership and other senior administrators and at the direction of the Board Chair and Vice Chair. The Secretary develops and utilizes long-term, strategic work plans and organizes and implements strategies and other actions to facilitate and coordinate the Board's deliberations, actions, and other activities, including meetings, annual retreats, publications, directories, committee staffing, and orientation of new trustees. The Secretary ensures proper notice of meetings of the Board and its committees, attends all meetings of the Board and its committees, makes and retains custody of the complete and permanent records of all proceedings of the Board and its committees, and maintains and serves as the custodian of policies and standards adopted by the Board and its committees. The Secretary provides counsel and advice on Board issues to the President and members of the senior administration and serves as the liaison between the Board and the University administration on Board-related policy and procedural matters, governance, and communications pertaining to the Board. Through their decisions and actions, the Secretary directly affects the activities and outcomes of the Board and may also impact the University as a whole. This position also chairs and provides ongoing support for the University Policy Committee, and maintains the University Policy Library. |

| Total Compensation Range & Benefits Statement | Salary is dependent on several factors, and new employees will typically start around the Q1 level to allow for later growth within the salary band. PSU has a structured process for determining starting compensation, taking into account years of related experience, applicable skills, knowledge and abilities, market parity, and internal equity. The starting annual salary for this position will be $112,146 to 127,824 but may be negotiated above this rate dependent upon the factors above, the budget of the hiring department, and approval from HR.
